1. Introduction

By engaging with Bridge Town Interiors, you (“Client”, “Customer”) agree to abide by the terms set forth herein.

3. General Terms of Service
3.1 Scope of Services
Bridge Town Interiors offers luxury interior design and furnishing solutions. Our team will work with Clients to deliver tailored designs and products, ensuring the highest standards of quality and craftsmanship.
3.2 Engagement Process
Upon engaging with us, the Client will receive a consultation, design proposals, and an agreement outlining the specific terms for each project, including timelines, pricing, and product specifications.
3.3 Completion and Delivery
Bridge Town Interiors aims to complete projects on time, but we shall not be held liable for delays caused by third-party suppliers, manufacturers, or unforeseen circumstances. Estimated delivery dates are provided as guidance and are subject to change.
4. Trade Agreements and Discounts
4.1 Business Relationships
Bridge Town Interiors partners with a select group of suppliers and manufacturers to provide superior quality products. As part of these partnerships, we are able to secure preferential pricing and terms that benefit our business operations.
4.2 Confidentiality of Trade Agreements
The specific terms of our trade agreements, including any discounts or pricing arrangements, are strictly confidential. These terms are not shared with Clients or customers and are considered company secrets and proprietary information. Clients acknowledge that the prices quoted may not reflect any special pricing or discounts that Bridge Town Interiors has negotiated with suppliers.
4.3 Supplier Information
Clients acknowledge that Bridge Town Interiors will not disclose the identities of our suppliers or manufacturers. Such information is proprietary to Bridge Town Interiors and treated as a trade secret.
5. Payments
5.1 Payment Terms
Payment for all services and products must be made in accordance with the terms agreed upon in the contract or invoice. Payment schedules will be outlined prior to the commencement of the project.
5.2 Late Payments
In the event that payments are not made according to the agreed schedule, Bridge Town Interiors reserves the right to charge interest on any overdue amounts at a rate of 8% per annum above the Bank of England base rate.
6. Intellectual Property
6.1 Ownership of Designs
All designs, sketches, plans, and intellectual property created by Bridge Town Interiors in connection with any project remain the property of Bridge Town Interiors. The intellectual property rights to these materials will remain with Bridge Town Interiors unless otherwise specified in the agreement, and the Client will not gain ownership rights unless stated. Upon full payment for the corresponding services, the Client is granted a limited license to use the designs and materials for personal use, subject to the terms of the contract.
6.2 Use of Materials
Any visual or written materials related to the designs or products provided by Bridge Town Interiors are protected by copyright. Clients may use these materials for personal purposes only and may not distribute, replicate, or modify them without written permission.
7. Client Obligations
7.1 Cooperation
The Client agrees to cooperate fully with Bridge Town Interiors during the design process and ensure that all necessary information and approvals are provided in a timely manner.
7.2 Site Access
The Client must provide access to any premises where work is to be carried out and ensure the availability of necessary utilities, such as electricity and water, as required by Bridge Town Interiors.
8. Liability and Limitations
8.1 Limitation of Liability
Bridge Town Interiors will not be held liable for any indirect, special, or consequential loss or damage arising from the use of our services or products. Our total liability for any direct damage shall not exceed the total amount paid by the Client for the specific services or products in question.
8.2 Force Majeure
Bridge Town Interiors will not be liable for any delays or failure to perform due to events beyond our reasonable control, including but not limited to natural disasters, government actions, or failure of suppliers or subcontractors to deliver.
9. Termination
9.1 Right to Terminate
Bridge Town Interiors reserves the right to terminate any agreement with the Client if there is a breach of any terms outlined in this Agreement or in the event of non-payment. Any work completed up to the point of termination will be charged in full.
9.2 Client Right to Terminate
The Client may terminate the agreement at any point, provided that written notice is given. The Client will be liable for any costs or fees incurred up to the point of termination.
9.3 Termination for Misconduct
Bridge Town Interiors reserves the right to terminate the contract immediately if there is any instance of verbal or physical violence, as well as any form of insulting or abusive behavior directed towards our staff, suppliers, partners, or any associated individuals. Such behavior will not be tolerated, and the Client will remain liable for any outstanding payments for work completed up to the point of termination.
10. Privacy and Confidentiality
10.1 Data Protection
Bridge Town Interiors will process all personal data in accordance with the UK Data Protection Act 2018 and any applicable regulations. Your personal data will only be used for the purposes of providing our services and will not be shared with third parties unless required by law.
10.2 Confidentiality
Both parties agree to maintain confidentiality concerning any confidential information disclosed during the course of the project. This includes, but is not limited to, business practices, designs, financial details, and any sensitive information regarding the Trade Agreements.
11. Conduct and Respectful Interaction
11.1 Zero Tolerance Policy
Bridge Town Interiors operates with a strict zero-tolerance policy towards any form of violence, whether physical or verbal, as well as any form of insulting or abusive behavior directed towards our staff, suppliers, partners, or any associated individuals. Any such behavior will result in immediate termination of the contract.
11.2 Right to Refuse Service
Bridge Town Interiors reserves the right to immediately terminate any engagement or contract with a Client who engages in violent, abusive, or insulting behavior. In such cases, the Client will be liable for all outstanding fees and charges for work completed up to that point.
12. Governing Law
This Agreement is governed by the laws of the United Kingdom. Any dispute arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Amendments to Terms
Bridge Town Interiors reserves the right to amend or update these Terms and Conditions at any time. Any changes will be communicated to the Client in writing and will apply to any ongoing or future engagements.
